Creator Agreement
Last updated: 16 September 2026
This Creator Agreement is between Clypso and any individual or entity registering as a creator on the Clypso platform. It supplements and is incorporated into the Terms and Conditions.
1. Independent Contractor Status
You are an independent contractor, not an employee, agent, or partner of Clypso. You are solely responsible for your own taxes, insurance, equipment, and business expenses. Nothing in this Agreement creates an employment, partnership, or joint venture relationship.
2. Platform Role
Clypso provides a marketplace and payment infrastructure connecting you with brands seeking user-generated content. Clypso is not a party to the content or usage terms of any individual deal except as set out in this Agreement and the applicable deal contract, and does not direct or control how you create content beyond the specifications in a given brief.
3. Fees
3.1 Clypso charges a flat 7.5% platform fee on the gross amount of each deal you complete, deducted from your payout via Stripe Connect. The brand pays the full agreed deal amount; you never pay more than the stated 7.5% regardless of deal size.
3.2 Referral program: if you refer another creator using your referral code, you receive 2.5 percentage points of the 7.5% fee collected on that referred creator's completed deals (Clypso retains 5%, you receive 2.5%), on a lifetime basis unless Clypso's referral program terms are changed with notice.
4. Payouts
4.1 You must connect a valid payout account via Stripe Connect to receive funds. Clypso requires identity verification as mandated by Stripe and applicable law before enabling payouts.
4.2 Following brand approval of your delivered content, your payout is held for a short dispute window (currently 2–3 days) before release.
4.3 If you have not connected a payout account when a deal is approved, your payout is marked as owed and released automatically once you connect an account. Approval of the deal by the brand is not blocked by this.
4.4 You are responsible for all tax obligations related to payments received. Clypso may issue a Form 1099 or equivalent as required by law.
5. Content Deliverables and Standards
5.1 You agree to deliver content that materially matches the agreed brief or listing description, by the agreed deadline.
5.2 You represent that all content you submit is your own original work (or that you hold all necessary rights to submit it), does not infringe any third party's intellectual property, publicity, or privacy rights, and complies with applicable advertising disclosure laws (including FTC guidelines on material connections and sponsored content, for example #ad or #sponsored disclosures where required).
5.3 Ownership and license of delivered content (for example, whether the brand receives a license to use the content in paid ads, organic posts, or in perpetuity) is set out in the deal-specific terms at the time each deal is created. Absent a specific grant, you retain ownership of your content subject to the brand's right to use it for the purpose described in the brief.
6. Conduct
You agree not to: solicit a brand to complete a deal outside the Platform to avoid Clypso's fee once contact was made through Clypso; misrepresent your audience, engagement, or identity; submit AI-generated or purchased content when a brief requires authentic personal use, unless disclosed and permitted; or violate any applicable law in producing or delivering content.
7. Disputes
If a brand disputes delivered content during the hold period, Clypso may withhold payout pending review. Clypso will make a good-faith determination based on the brief, the delivered content, and communications between the parties. Clypso's determination is final absent fraud or manifest error, without prejudice to either party's other legal remedies.
8. Termination
Either party may terminate this Agreement at any time. Clypso may suspend or terminate your account for violation of this Agreement, the Terms and Conditions, or for fraudulent or abusive conduct. Amounts owed for completed, approved deals prior to termination remain payable.
9. Limitation of Liability
Clypso's aggregate liability to you under this Agreement shall not exceed the total fees paid by you to Clypso in the six months preceding the claim.
10. Governing Law
This Agreement is governed by the laws of the State of Minnesota.
